On December 23rd, 2024, a federal appellate court reinstated the filing requirements under the Corporate Transparency Act (“CTA”). The appellate court’s decision requires “reporting companies” to file Beneficial Ownership Information with FinCEN by the new January 13, 2025 deadline.

IF YOU HAVE NOT YET FILED YOUR BENEFICIAL OWNERSHIP INFORMATION (“BOI”) REPORT, YOU NEED TO ACT NOW. Any entity considered a “reporting company” under the CTA, must file with FinCEN a BOI report by January 13, 2025. A violation of the CTA may involve potential monetary fines and jail time.
