The 3-hour Workshop and Visual Presentation lecture covers many of the areas that are part of a transaction in the Commercial Real Estate Business Opportunities category. Clearly, there are many phases of development that go into the Due Diligence process of a typical business sales transaction or Asset Sale in a Business Opportunity.  This can cover many CRE categories, Restaurants, Retail, Office, Industrial among others.  Each category must adhere to the many requirements that must be researched, studied and approved at the governmental level, before, during and after the business transaction or Asset Sale goes to closing and beyond.

It is important that all Commercial Agents understand the process as part of being readily representing the client during this Due Diligence phase of the contract.  There are various departments and components that will come into play; Governmental Due Diligence (Entitlement) Such as Zoning, Certificate of Use, DERM and Water & Sewer (WASD) , Building Code Enforcement compliance and Fire Departments approvals, ADA Code, Licensing at the County, State, and Local Level jurisdictions (Municipalities), Accounting, P&L’s, Financial and Operational Due Diligence, Physical and Structural Due Diligence, Legal and Title, review of ALTA Survey, Environmental Due Diligence, Alcohol Beverage Licensing and Process, etc. 

The Workshop will cover these areas assisting the attendee, with the basic, detailed knowledge on how to handle a prospective Business Opportunity transaction and following up through the Due Diligence process by understanding what needs to be covered and have in place before the closing date.

The Business Opportunity / Asset Sale Transaction process:
  • The initial Phase of Inspection
  • Existing Physical Conditions Outlook. What to Look for?
  • Existing Zoning and Code Compliance.  What is required?
  • Existing Code Enforcement Liens.  Fines, How to find them?
  • What is a Certificate of Use? The Process? The requirements?
  • Licenses and approvals that are transferable and that are not?
  • Changes of Business Use, what are the ramifications?
  • Grandfather type clauses, are they transferable ?
  • The Alcohol Beverage License Business Opportunity. The Process?
  • Governmental Entitlement Process? What to deal with
  • Business violations? How to comply and mitigate?
  • Financial Due Diligence. Restaurants? Retail? P&L’s?
  • Business Licensing? Types? Transfers? County, State, and Local
  • Final Walk-Through Phase?
  • Environmental Process? The Why?
